What are some of the major differences between starting an LLC and INC?
I'm trying to start an aircraft maintenance business with little money, hoards of specialty tools, 7 years exp. and an FAA Cert.... I would be the owner and also the company's sole employee
First, you probably mean the difference between an S-Corp and an LLC. There are a bunch of differences but the choice usually comes down to this: An S-Corp is more work with more bookkeeping and other legal requirements and less organizational flexibility. An LLC is no work and tons of flexibility. The big issue then is that an S-Corp can hold money that is not taxed and an LLC can't. So suppose that you need to stash away money because your business is going to require significant capital expenditures in the future (say, for new tools or a hangar at JFK), then you want to be able to earn money for repairing planes now, put it in the bank, pay yourself a salary and the amount of earnings that stays in the bank is not taxed. That would mean that you need an S-Corp. In an LLC, those earnings would flow through to you and be taxable as regular income. The answer to this question for most people is LLC but yours is a real choice because you can expect significant earnings early in your business and probably require significant capital layaway for upgrading tools and stuff (not that I know anything about aircraft maintenance...). The other issue is how the business is funded. You can't form an S-Corp easily if someone else is funding the whole thing but you own half the company. That may also be an issue for you.
